Structured Credit Facilities of a portfolio of seven power generation facilities in the Western United States.

• Represented Duke Energy International Egenor, S.A. in Peru on a US$ 42 Million Non-Recourse, Off-
Credit Bridge Term Loan Facility and on a US$ 100 Million Eurodollar Bond Programme in support of six
hydroelectric power generation plants and associated infrastructure facilities.

• Represented Duke Energy in Australia in the A$ 900 Million Non-Recourse and Recourse Two Tranche
Pipeline Facility in Australia and New Zealand. This project was chosen as Asia’s “Project of the Year” for
2002 by Project Finance International.

• Represented Duke Energy in Australia in the US$ 1.2 billion structuring of a proposed initial public
offering of Duke Energy’s Australian and New Zealand operations including all of the equity, quasi-equity,
senior and subordinated securities offerings and credit facilities to be issued or granted post-IPO.

• Represented Duke Energy’s Grupo Generador de Guatemala y Cia. , S.A. in the US$ 50 Million Non-
Recourse Back-to-Back Credit Facility in Guatemala in support of Duke Energy’s operations in
Guatemala.

• Represented Duke Energy Gas Transmission in the US $ 250 Million Non-Recourse financing of the 100
mile expansion of the Gulfstream Natural Gas Pipeline System in the United States.

• Represented the InterAmerican Development Bank in the greenfield development and non-recourse
financing of Miravalles III, a geothermal power generation facility in Costa Rica.

• Assisted with the representation of the sponsors in all security interest and collateral aspects in the Jorf
Lasfar US $ 1.5 Billion acquisition (privatization) and financing of existing generation facilities and the
construction of new facilities in Morocco funded by a consortium of commercial banks, Export-Import
Bank of the U.S., Swiss and Italian export credit agencies, the World Bank and OPIC. This project was
chosen as “Project of the Year” for 1997 by Project Finance International.

• Represented Con Edison of New York and International Energy Partners, as sponsors, in the greenfield
development and non-recourse financing of Generadora del Norte, S. de R. L. (a/k/a Genor, S. de R.L.),
the first merchant power generation facility in Guatemala.

• Represented PP&L Group in the proposed privatization, acquisition and financing of the CORELCA
electric distribution network in Colombia.

• Represented International Energy Partners in the privatization, acquisition and non-recourse financing of
Generadora La Laguna, S.A. in Guatemala.

• Represented Wartsila NSD, as sponsor and equipment supplier, in the restructuring, refinancing and
securitization (monetization) of the Blue & White Power Financing Co.’s power generation facility in
Guyana, South America.

• Represented FondElec and Convergence Communications, Inc. in the development and non-recourse
financing of a fiber optic network in Mexico.

• Represented FondElec and Convergence Communications, Inc. in the development and non-recourse
financing of a fiber optic network in Venezuela.

• Assisted with the representation of Bechtel in the proposed restructuring and refinancing of its
investments in several energy projects throughout the world through InterGen, a joint venture with Royal
Shell.

• Represented Cogentrix in the proposed development and non-recourse financing of a coal-fired power
generation facility in Puerto Rico.

• Assisted with the representation of Duke Energy International’s Compania de Servicios de
Comprension de Campeche, S. de R. L. in Mexico in the US$ 1 Billion Non-Recourse Greenfield
Development Loan Facility for a nitrogen compression facility.

• Assisted in the representation of Duke Energy International’s Compania de Servicios de Extraccion de
Cantarell in Mexico in the US$ 1. 2 Billion Non-Recourse Greenfield Development Credit Facility for a
nitrogen extraction facility.

• Assisted with the representation of the InterAmerican Development Bank in the proposed development
and financing of the Montaro-Socabaya transmission line in Peru.

• Assisted in the representation of Westcoast Corporation in the disposition of several merchant power
generation facilities throughout the U.S. and Canada owned by its subsidiary, Westcoast Power, LLC,
upon consummation of Duke Energy’s acquisition of Westcoast Corporation.

• Assisted in the representation of Duke Capital Corporation in connection with the divestiture of Duke
Engineering & Services, Inc.

• Assisted in the representation of Duke Capital Corporation in the disposition of one of its proprietary
energy trading subsidiaries, Engage America, LLC.

natural gas-fired merchant power generation facilities in the Southern United States to a private equity
